Explanation of Responses:
( 1)  The transaction involved an annuity payment of 107,184 shares from The Dennis L. Jilot Annuity Trust Agreement dated April 7, 2010 (the "DLJ 2010 Trust") to The Dennis L. Jilot and Linda L. Jilot Family Trust (the "Family Trust").
( 2)  Held by Dennis L. Jilot, as Trustee of the DLJ 2010 Trust.
( 3)  The transaction involved an annuity payment of 107,184 shares from The Linda L. Jilot Annuity Trust Agreement dated April 7, 2010 (the "LLJ 2010 Trust") to the Family Trust.
( 4)  Held by Linda L. Jilot, as Trustee of LLJ 2010 Trust. The reporting person's spouse is trustee of the trust. The reporting person disclaims ownership of such securities, and this report should not be deemed an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purposes.
( 5)  Held by the Family Trust, of which Dennis L. Jilot is a co-trustee and beneficiary.
