Voyager Digital (Canada) Ltd. (“Voyager” or the “Company”) (TSXV: VYGR) (OTCPink: VYGVF) (FRA: UCD2), is pleased to announce that it has closed a non-brokered private placement for 3,045,397 units (“Units”) of the Company, at a price of CAD $0.80 per Unit, for gross process of CAD $2,436,317 (US$1,845,700) (the “Offering”).

Each Unit is comprised of one common share of the Company (a “Share”) and one-half Share purchase warrant (a “Warrant”), with each whole Warrant entitling the holder to subscribe for one additional Share at a price of CAD $1.05 per Share for a period of 30 months from the date of issuance. No finder’s fees were paid in connection with the Offering.

Proceeds from the Offering will be used by the Company to increase its customer account base through marketing and to expedite the development of its products.

The Offering was led by Dattels & Company Limited and Susquehanna Government Products LLP and included an existing Voyager Board Member.
