                            DIRECTOR'S SHAREHOLDING


The Company has been informed that David Low, Chairman, exercised 1,000,000
options under the Windsor Group 1997 Executive Share Option Scheme (representing
1.74 per cent. of the issued share capital of the Company) on 22 May 2003. The
exercise price of such options was 11p per share in respect of 250,000 options
and 12 pence per share in respect of the remaining 750,000 options.


In addition, David Low sold 1,000,000 shares in the Company (representing 1.74
per cent. of the issued share capital of the Company) at 37.5p on 22 May 2003.


The resultant shareholdings of David Low in the Company are as follows:
