Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 15, 2022, Hyliion Holdings Corp. (the “Company”) was informed of the death of Edward Olkkola, a member of the Board of Directors (the “Board”) of the Company. Mr. Olkkola served as Board Chair and as a director of the Board since October 2020. Mr. Olkkola also served on the Board’s Technology Committee. He will be greatly missed.

On December 21, 2022, the Board voted to decrease the size of the Board from ten to nine members, effective December 21, 2022. The Board also appointed Jeffrey Craig as Chair of the Board.
