Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 3, 2020, Joseph L. Welch notified ITC Holdings Corp. (“ITC Holdings”) that he is resigning from ITC Holdings’ Board of Directors, effective May 31, 2020. Mr. Welch did not resign as a result of any disagreement with ITC Holdings on any matter relating to its operations, policies or practices.
