This morning, we announced that Denbury will be acquired by ExxonMobil in an all-stock transaction valued at $4.9 billion. You can read more about the transaction in the press release that was issued this morning, which is attached to this email.

Before deciding to enter into this transaction, our Board of Directors and management team conducted a thorough strategic review process with the assistance of outside advisors that assessed a wide range of opportunities, including the continued execution of our standalone plan. Throughout the process, it became clear that this transaction with ExxonMobil is in the best interest of our Company, our shareholders, and you – our employees.

The combination with ExxonMobil gives us the opportunity to play an even greater role in CCUS and to potentially expand and accelerate our EOR operations. Importantly, given the early stage of the CCUS industry and the significant capital, human resources, and time required to fully develop our CO2 business, combining with ExxonMobil’s resources and capabilities makes for an ideal partnership. The benefits of the combination will be far-reaching:
