N&B Transition Update

An Overview of Activities for the Separation of Nutrition & Biosciences

On December 15, 2019 DuPont and IFF announced they had reached a definitive agreement to combine the DuPont Nutrition & Biosciences (N&B) business with IFF. N&B remains a part of DuPont until the transaction closes. Pending IFF shareholder approval, regulatory approvals, and customary closing conditions, it is expected that the transaction will close in Q1, 2021. This article provides an update on recent progress and an overview of a few separation activities.

What does the separation effort look like?

The process of separating N&B and preparing it to merge with IFF is already well underway. Several teams were formed earlier this year to advance the transaction efforts. Two key teams lead the work.

The Separation Team is focused on executing a successful separation and transition of N&B. The separation is a cross-function and cross-business effort, with the team consisting of DuPont colleagues from corporate, regional and local country levels, N&B and other business segments. Says Global Separation Team Leader Joyce McGhee, “Today N&B is an integrated part of DuPont. We need to carefully separate the business while minimizing disruption to N&B and DuPont’s other businesses to achieve our ultimate goal—the successful merger of N&B with IFF.”

Another team operating in parallel to the Separation Team is the Integration Team composed of both N&B and IFF representatives. Co-led by Angela Naef from N&B and Rich O’Leary from IFF, this team is working to define the future of the combined company. Says Angela, “Our mission focuses on creating a roadmap for bringing the two organizations together and on developing an initial vision and strategy for the intended new company.”

What does it take to prepare for the transaction?

The N&B-IFF transaction is a major undertaking. N&B will merge with IFF immediately upon separating from DuPont. But first the business segment must be separated from the other DuPont businesses as if it were operating as a standalone business. The approach is to “lift and shift” current DuPont processes, policies, and systems, with a few exceptions. While the transaction close is expected in Q1, 2021, many separation activities need to be completed before the end of this year. Activities critical to the success of the separation work and transaction include:

 

   

Establishing and aligning DuPont and N&B operations to dedicated legal entities, and developing infrastructure (e.g., bank accounts, systems, etc.) to enable continuity of operations


   

Re-aligning employees, customers, supply chains, suppliers and assets to the new DuPont or N&B legal entities

 

   

Separating DuPont and N&B facilities and satisfying legal and regulatory requirements to secure their right to operate

 

   

Designing, testing, and implementing IT systems

To ensure N&B is staffed with the roles required for business continuity, talent selection for corporate leveraged functional roles is underway and will be completed by the end of Q2, 2020.

Beginning in the third quarter of 2020 and anticipated to continue through the fourth quarter of 2020, some employees—both those who will be part of the transaction and those who will remain with DuPont—will experience a change in their legal entities. All affected employees will be notified of legal entity changes that impact them directly and of any actions they need to take. Additionally, customers, suppliers and other key stakeholders will be notified of any changes that may require them to take action. We’ll provide more information on the legal entity work in a future article.
