Item 8.01

Other Events.

On January 9, 2024, Aeva Technologies, Inc. (“Aeva”) announced that Daimler Truck AG (“Daimler Truck”) has selected Aeva as the supplier of long and ultra-long range LiDAR for its series production autonomous commercial vehicle program. A copy of the press release is filed as Exhibit 99.1 hereto.

Aeva estimates an Order Book of approximately $1 billion from this collaboration. “Order Book” is defined as the forward-looking cumulative billings estimate of Aeva’s products over the estimated lifetime of given production programs which Aeva expects to be integrated into or provided for, based primarily on projected pricing terms and our good faith estimates of “take rate” of Aeva’s technology on production programs. “Take rates” are the anticipated percentage of new vehicles or products to be equipped with Aeva’s technology based on Aeva’s projected product offerings and growth rates.

Order Book is a forward-looking statement. There is no assurance or guarantee that any of our customers, including any programs which we included in our Order Book estimates will ever complete such testing and validation with us or that we will receive any billings or revenues forecasted in connection with such program. These risks and uncertainties may cause our future actual sales to be materially different than that implied by the Order Book metric. The Order Book estimate may also be impacted by various factors, as described in “Risk Factors” in Item 1A of Part I of our Annual Report on Form 10-K for the fiscal year ended December 31, 2022 and subsequent filings with the Securities and Exchange Commission, including, but not limited to the following: (i) none of our customers make contractual commitments to use our LiDAR sensors and software until all test and validation activities have been completed, they have finalized plans for integrating our systems, have a positive expectation of the market demand for our features, and unrelated to us, have determined that their vehicles or products are ready for market and there is appropriate consumer demand. Consequently, there is no assurance or guarantee that any of our customers, including any programs which we included in our Order Book estimates will ever complete such testing and validation or enter into a definitive volume production agreement with us or that we will receive any billings or revenues forecasted in connection with such programs; (ii) the development cycles of our products with new customers vary widely depending on the application, market, customer and the complexity of the product. In the automotive market, for example, this development cycle can be as long as seven or more years. Variability in development cycles make it difficult to reliably estimate the pricing, volume or timing of purchases of our products by our customers; (iii) customers cancel or postpone implementation of our technology; (iv) we may not be able to integrate our technology successfully into a larger system with other sensing modalities; and (v) the product or vehicle model that is expected to include our LiDAR products may be unsuccessful, including for reasons unrelated to our technology.

LEINFELDEN-ECHTERDINGEN, Germany, BLACKSBURG, Virginia AND MOUNTAIN VIEW, Calif., January 09, 2024 – Aeva® (NYSE: AEVA), a leader in next-generation sensing and perception systems and Daimler Truck AG (“Daimler Truck”), one of the world’s leading commercial vehicle manufacturers, announced today that Daimler Truck has selected Aeva as the supplier of long and ultra-long range LiDAR for its series production autonomous commercial vehicle program.

Under the production collaboration, Aeva will supply its latest Aeva Atlas automotive grade 4D LiDAR technology to Daimler Truck and collaborate with Torc Robotics, Inc. (“Torc”), an independent subsidiary of Daimler Truck, to enable SAE Level 4 autonomous vehicle capabilities beginning with the Class 8 Freightliner Cascadia truck platform. Daimler Truck intends to integrate the LiDAR sensors directly in its production process, making it easy for customers to buy autonomous ready trucks directly out of its manufacturing plants without the need for sensors to be retrofitted. Torc in turn will sell its virtual driver technology and supporting services as a subscription to customers. Torc’s driving software will use Aeva’s perception software, built around Aeva’s instant velocity data, to detect objects faster, farther away, and with higher accuracy. The multi-year collaboration begins in the first quarter of 2024 with Aeva’s start of production by 2026 and Daimler Truck’s production ramping up by 2027.

LiDAR is a key enabling technology in autonomous driving. While traditional LiDAR sensors use laser pulses to sense distances to objects, Aeva’s unique Frequency Modulated Continuous Wave (FMCW) 4D LiDAR technology uses a low power continuous laser beam to simultaneously measure range and velocity for every point. This enables vehicles to unlock new levels of safety and automation by instantaneously discriminating between static and dynamic points and knowing the precise velocity of dynamic objects.
