Explanation of Responses:
( 1)  The shares were issued pursuant to a Sale of Shares and Claims Agreement, dated as of January 8, 2016 (the "Redfieldlane Agreement"), by and between Redfieldlane Consulting Limited and Net1 Applied Technologies Netherlands B.V., a wholly owned subsidiary of Net 1 UEPS Technologies, Inc. Under the terms of the Redfieldlane Agreement, Net1 Applied Technologies Netherlands B.V. acquired 56.12% of Transact24 Limited for $3 million in cash and 391,645 shares of common stock of Net 1 UEPS Technologies, Inc.
( 2)  Held by Redfieldlane Consulting Limited. Philippus Stefanus Meyer is the sole shareholder of Redfieldlane Consulting Limited.
