( 1)  Replacement options granted upon the merger of FCStone Group, Inc. and International Assets pursuant to the merger agreement.
( 2)  Commencing on 12/22/10 the Optionee shall be entitled to exercise 334 shares of the Option. Commencing on 12/22/11 the Optionee shall be entitled to exercise an additional 333 shares of the Option. Commencing on 12/22/12 the Optionee shall be entitled to exercise the remaining 333 shares of the Option.
