ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers
 
On April 21, 2010, Cascade Financial Corporation announced that Director Katherine M. Lombardo has decided not to stand for reelection due to the increasing overseas travel requirements of her position with the Gates Foundation. Ms. Lombardo intends to resign her position as a Cascade director as soon as the Board names a replacement.
