Consolidated Minerals Limited (ASX:CSM, AIM:CNM, FSE:CMN) advises that
Pallinghurst Resources Australia Limited ("Pallinghurst") has lodged a notice of
cessation of substantial holder.


Pallinghurst have advised that they have accepted Palmary's offer for all their
shares, including those issued on 17 December 2007 on conversion of convertible
notes.
