                         BKN International AG Announces
                          Completion of Capital Increase


BKN, the media and entertainment company specialising in the children's market, 
announces that it has completed a capital increase of 3,682,604 new no-par 
value ordinary shares ("New Shares") at a price per share of Euro 2.45 as per the 
rights offering period which ended yesterday. The total gross proceeds are 
Euro 9,022,380.00 or approximately USD 12.5 million which will allow the Company 
to proceed with its business plan as anticipated.

Of the 3,682,604 New Shares issued, a total of 894,309 New Shares were taken up 
under the rights offer. The remainder of the New Shares were successfully placed 
with institutional and other investors.

It is expected that the capital increase will be registered in Germany on 
18 July and that dealings in the New Shares will commence in Frankfurt and 
London on Friday 20th July.
