(the "Noteholders" and the "Notes")

convened on 12 July 2011

Results of the Adjourned Meeting

NOTICE IS HEREBY GIVEN to the Noteholders that, at an adjourned meeting of the Noteholders, the Extraordinary Resolution (as defined in the Notice of Adjourned Meetings dated 28 June 2011) set out in such Notice of Adjourned Meetings was duly passed.

NOTICE IS HEREBY GIVEN to the Noteholders that, at separate adjourned meetings of the holders of (A) the EUR550,000,000 Series 3 Class A1 Asset Backed Floating Rate Notes due 2042 (ISIN: XS0255922048; US620524AE89; CUSIP: 620524AE8) and the GBP375,000,000 Series 3 Class A2 Asset Backed Floating Rate Notes due 2042 (ISIN: XS0255925496; US620524AF54; CUSIP: 620524AF5), (B) the EUR29,500,000 Series 3 Class B1 Asset Backed Floating Rate Notes due 2042 (ISIN: XS0255922808; US620524AG38; CUSIP: 620524AG3) and the GBP9,000,000 Series 3 Class B2 Asset Backed Floating Rate Notes due 2042 (ISIN: XS0255925736; US620524AH11; CUSIP: 620524AH1) and (C) the EUR62,000,000 Series 3 Class C1 Asset Backed Floating Rate Notes due 2042 (ISIN: XS0255924093; US620524AJ76; CUSIP: 620524AJ7) and the GBP12,000,000 Series 3 Class C2 Asset Backed Floating Rate Notes due 2042 (ISIN: XS0255926627; US620524AK40; CUSIP: 620524AK4), each issued by Mound Financing (No.5) PLC, an extraordinary resolution which is substantially similar to the Extraordinary Resolution, was duly passed.

Implementation

NOTICE IS HEREBY GIVEN to the Noteholders that all the modifications referred to in the Extraordinary Resolution will now be implemented with effect on and from 15 July, 2011.
