Henderson  American  Capital and Income  Trust  plc  (the
"Company")

At  the  Second  Extraordinary  General  Meeting  of  the
Company  held today, the resolutions put to  the  meeting
were passed.  Accordingly the Company has been placed  in
members'  voluntary liquidation and James Robert Drummond
Smith  and  Nicholas  James Dargan  have  been  appointed
liquidators to the Company.

In  accordance  with  the reconstruction  proposals,  for
every 100 Capital shares held, a shareholder will receive
16.36  units in the Henderson North American Fund; 136.83
units  in the Henderson Preference & Bond Fund; or #85.30
cash;

and  for every 100 Income shares held, a shareholder will
receive  either  23.71  units  in  the  Henderson   North
American Fund; 198.25 units in the Henderson Preference &
Bond Fund; or #123.59 cash;

and  any  pro rata combination in accordance  with  their
elections.

The  creation prices of the units in the Henderson  North
American  Fund and the Henderson Preference &  Bond  Fund
were  522.04p and 62.40p respectively, as determined from
the valuation of the Funds at 12 noon today.

Warrantholders  who  did not exercise their  subscription
rights will receive 52.8p per warrant held.

Shareholders who elected to receive units in  either  the
Henderson North American Fund or the Henderson Preference
&  Bond  Fund  are  expected to have  contract  notes  in
respect  of  such elections despatched  to  them  on  1st
March,  1999.   Shareholders who elected to receive  cash
and  holders of warrants outstanding are expected to have
cheques posted, and CHAPS payments made, to them  in  the
week commencing 1st March, 1999.
