Item 7.01  Regulation FD

On July 19, 2010, the Registrant issued a press release announcing an update on its wholly owned Paredones Amarillos gold project located in Baja California Sur, Mexico.  The update discusses the current status of the Change of Forest Land Use permit application, technical programs currently in progress, and a general overview of the development of the Paredones Amarillos gold project.  A copy of the press release is attached to this report as Exhibit 99.1. In accordance with General Instruction B.2 of Form 8-K, the information set forth herein and in the press release is deemed to be “furnished” and shall not be deemed to be “filed” for purposes of the Securities Exchange Act of 1934, as amended.
