Banco Santander SA (STD) said Monday that Banco Santander (Brasil) S.A. plans to offer 525 million units at BRR22-BRR25 to raise between BRR11,550 million and BRR13,125 million, or EUR4.34 billion-EUR4.93 billion.

MAIN FACTS:

-Banco Santander Brasil has launched a primary offer of units, registered with the Brazilian Comissao de Valores Mobilarios and, in unit and ADR format, with the U.S. Securities and Exchange Commission.

-Each unit will represent 55 common shares and 50 preferred shares of Banco Santander (Brasil) S.A.

-It is expected that the offering will be priced on Oct. 6, and that the units will start trading on the NYSE - in ADR format - on Oct. 7 and on BM&FBOVESPA on Oct. 8.

-The free float after the offering (not including the possible exercise of the "green shoe" option) will be 15.6%.
