Explanation of Responses:
(1)  In March 2019, the reporting person received an equity award which was subject to achieving certain predetermined financial performance targets subject to certification by the registrant's Compensation Committee. Effective March 1, 2022, the registrant's Compensation Committee determined that these performance conditions had been achieved at a level providing for a payout of 175% of the target award. The original form filed on March 3, 2022 incorrectly provided a payout of 117% instead of 175%.
(2)  Represents shares withheld to satisfy taxes at vesting of the performance shares reported herein. The original form filed on March 3, 2022 incorrectly stated shares withheld for taxes due to incorrect payout of the target award.
