Explanation of Responses:
( 1)  OccuLogix, Inc. (?OCCX?) effected a 1:25 reverse stock split on Oct. 7, 2008. The exercise price and the number of underlying shares reported on this Form 4/A have been reverse split-adjusted. On Oct. 6, 2008, Mr. Vamvakas had been granted 15,654,079 options with a per share exercise price of $0.105, which options have been reverse split into 626,164 options with a per share exercise price of $2.63. A Form 4 was filed on behalf of Mr. Vamvakas on October 8, 2008. That Form 4 incorrectly reported the per share exercise price of the options granted to Mr. Vamvakas. This Form 4/A is an amendment of that Form 4.
( 2)  The number of OCCX options held by Mr. Vamvakas following the transaction reported on this Form 4/A has been reverse split-adjusted.
