Item 1.01  Entry into a Material Definitive Agreement.

Medialink Worldwide Incorporated (the “Company”) entered into a Supplement to Separation Agreement and General Release (the “Supplemental Agreement”) with J. Graeme McWhirter, a former Director and Executive Vice President, effective as of June 30, 2009.  The Supplemental Agreement amends the Separation Agreement and General Release that the parties entered into as of December 30, 2005, pursuant to which Mr. McWhirter was receiving severance payments through December 31, 2010.  Pursuant to the terms of the Supplemental Agreement, no further severance payments will be made.
