ALLOCATION OF SHARES UNDER THE DEFERRED ANNUAL BONUS SCHEME
On 6 December 2012, the following shares were allocated to
members of the TUI Travel PLC Board under the Deferred Annual Bonus
Scheme at 284 pence per share, which may be acquired for nil
cost:

members of the TUI Travel PLC Board under the Performance Share
Plan at 284 pence per share, which may be acquired for nil
cost:
