Issue of ordinary shares and performance rights

Prairie Mining Limited (Company) announces that 3,000,000 fully paid ordinary shares have been issued today. An application will be made for admission of the shares to the standard listing segment of the Official List of the FCA (Official List) and to trading on the main market of the London Stock Exchange for listed securities (together, LSE Admission) in due course and in any event within 12 months.

Following admission, the Company's issued ordinary share capital will be 231,355,089 ordinary shares.

The above figure of 231,355,089 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company, under the FCA's Disclosure and Transparency Rules.

The Company has also issued 5,000,000 unlisted Class A Performance Rights and 6,000,000 unlisted Class B Performance Rights. Please refer to announcement entitled "Prairie Acquires Interest in Highly Prospective Greenland Copper Province" dated 6 October 2021 fur further details,

The Company has today issued 3,000,000 fully paid ordinary shares. The issued securities are in a class of securities quoted on the Australian Securities Exchange ("ASX").

The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act 2001 (Cwth)(the "Act") that:

1. the Company issued the securities without disclosure to investors under Part 6D.2 of the Act;

2. as at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company, and section 674 of the Act; and

3. as at the date of this notice, there is no information that is "excluded information" within the meaning of sections 708A(7) and 708A(8) of the Act.
