                                  Merger of
                        Chrysalis VCT plc ("Chrysalis")
                                     with
                      Chrysalis A VCT plc ("Chrysalis A"),
                    Chrysalis B VCT plc ("Chrysalis B") and
                      Chrysalis C VCT plc ("Chrysalis C")
                      (together the "Chrysalis Companies")


Chrysalis announces that, as at 3pm on 15 April 2005, valid acceptances had been
received in respect of the following Chrysalis Companies Shares:

     5,835,901 Chrysalis A Shares (representing 89.42 per cent. of 
     Chrysalis A's issued ordinary share capital)

     9,343,677 Chrysalis B Shares (representing 86.63 per cent. of 
     Chrysalis B's issued ordinary share capital)

     9,023,346 Chrysalis C Shares (representing 85.42 per cent. of 
     Chrysalis C's issued ordinary share capital)


The offers remain open until further notice.
