    Pursuant to listing rule 23.22(p) and 15.15 of the listing rules of
the UK Listing Authority, ASSA ABLOY AB (publ) (the "Company") gives
notice by way of this announcement that pursuant to the Company's
offer (the "Tender  Offer") to purchase for cash up to
�300,000,000 of the Company's �600,000,000 5.125%
Notes due 4 December 2006 (the "Notes") the Company has today agreed
to purchase �300,000,000 of the Notes for settlement on 16
December 2004.  The offer period for the Tender Offer expired on 10
December 2004.

This is the first such notification given by the Company in relation
to the Notes.  Following such purchase �300,000,000 of the
Notes will remain outstanding.  All of the �300,000,000 of
Notes that are purchased pursuant to the Tender Offer will be
cancelled.
