                                 Offer Update


The board of Abingdon announces that by 3.00 pm on 20 August 2002 valid
acceptances had been received pursuant to the recommended offer for Corporate
Synergy in respect of 43,844,344 Corporate Synergy Shares (representing
approximately 92.3 per cent. of the existing issued ordinary share capital of
Corporate Synergy) which together with the 1,500,000 Corporate Synergy Shares
(representing 3.2 per cent. of the existing issued ordinary share capital of
Corporate Synergy) already owned by Abingdon Capital prior to the start of the
Offer period, takes the total number of Corporate Synergy Shares now owned by
Abingdon to 45,344,344, representing 95.5 per cent. of the Corporate Synergy
Shares in issue.  Accordingly the Offer is now closed.

Application has been made to admit a further 183,436 new ordinary shares of 5p
each in the capital of Abingdon in respect of acceptances received between 6
August 2002 and 20 August 2002 for a total of 412,803 Corporate Synergy Shares,
which have now been allotted subject to their admission to AIM, which is
expected to take place on 27 August 2002.  Such shares will rank pari passu with
the existing shares in Abingdon currently in issue.

The cash and share consideration payable to Corporate Synergy Shareholders who
have validly accepted the Offer between 6 August 2002 and 3.00 p.m. on 20 August
2002 will be posted to such persons (or credited to CREST accounts where
appropriate) within 14 days of the date of this announcement.

Expressions used in this announcement shall bear the same meanings as are
attributed to them in the Offer Document dated 1 July 2002.
