potential legal claims against the board of directors of Fidelity
Bancorp, Inc. (“Fidelity” or the “Company”) (NASDAQ GM: FSBI)
regarding possible breaches of fiduciary duties and other
violations of law related to the Company’s entry into an agreement
to be acquired by WesBanco, Inc. (“WesBanco”) (NASDAQ GS: WSBC) in

Under the terms of the proposal, public shareholders of Fidelity
will receive 0.8275 shares of WesBanco common stock and $4.50 in
cash for each share of Fidelity they own. Based upon WesBanco’s
closing price on July 19, 2012 of $22.17, the total value would be
approximately $22.85 for each share of Fidelity owned.
The investigation concerns whether Fidelity’s board of directors
failed to adequately shop the Company and obtain the best possible
value for Fidelity’s shareholders before entering into an agreement
with WesBanco.
