Update re Ineligible Holders and Holdings in Company

Further to the announcements made by the Company on 28 January 2011 and 12 May 2011 together with the Solicitation Statements posted to the Note and Warrant holders on 17 December 2010 (the "Solicitation Statements"), Note and Warrant holders who confirmed that they were ineligible to receive shares were to receive payment of a Cash Settlement Amount to which they are entitled from the sale of shares within the First DI Instalment and the Second DI Instalment as soon as reasonably practicable following the completion of the relevant sale. 14,770,046 Ordinary Shares were held for sale on behalf of the ineligible Note and Warrant holders.

XXI Century is pleased to announce that the Company through its broker Renaissance Capital has sold 14,770,046 ordinary shares in the Company of US$ 0.01 each ("Ordinary Shares") to Jaspen Capital Partners Limited at a price of 1.6 pence each. As far as the Company is aware, Jaspen Capital now holds 27, 294, 046 Ordinary Shares representing approximately 4.94% of the issued share capital of the Company.

Following this transaction, the Cash Settlement Amounts as a result of the sale will be transferred to escrow accounts in Trustee bank (Bank of New York) for the benefit of the ineligible Note and Warrant holders.

This transaction does not affect any changes in the Company's equity and cash position.

Unless otherwise defined herein and unless the context otherwise requires, capitalised terms used in this Notice shall bear the meanings given to them in the Solicitation Statements.
