OFEX HOLDINGS PLC

                            STATEMENT RE APPROACHES

The Board of OFEX Holdings plc (the "Company") notes the announcement made
yesterday by Zyzygy PLC ("Zyzygy"). The Board confirms that it has received
written confirmation from Zyzygy of its interest in pursuing discussions with a
view to making an offer to acquire the entire issued share capital of the
Company. The Board regards this interest as preliminary.

The Board announces that it has also received other intimations of interest
from further parties. All of these are tentative and provisional in nature.

The Board is continuing its discussions for an equity fundraising as disclosed
in its previous announcement. These discussions are to raise up to GBP3 million
at 5p per share.
