Issue of Equity

The Company has applied to the UK Listing Authority for 883,932 ordinary shares of 25p each, which were issued pursuant 
to the exercise of 1998 Company Share Option Plan options to be admitted to the Official List, and to trading on the 
London Stock Exchange. These shares will rank pari passu with the existing ordinary shares of the Company and dealings 
are expected to commence on 4 May 2005. Details of Director's and senior management holdings following the exercise of 
these options is shown below:

Following the cancellation of 239,000 outstanding options on 27 April 2005 there
are no further outstanding options in relation to Merrydown PLC.

Following the exercise of options referred to above, it has 22,796,624 ordinary shares of 25p each in issue.
