Result of EGM, AIM Delisting Timetable and Change of Name of Nominated Adviser

The Company announces that the resolution proposed at its Extraordinary General Meeting held on 3(rd) May 2012, relating to a 1 for 3 share consolidation ahead of its anticipated NYSE listing, was duly passed with 99.1% support.

The Company also announces its current expected timing of its proposed delisting from AIM. The AIM delisting is currently expected to take place at 7.00 a.m. on the business day following the proposed NYSE listing, which is currently expected to be on or around 25(th) May 2012. Trading of the Company's ordinary shares on AIM is expected to be suspended at 7.30 a.m. on the day of such listing, which is currently expected to be on or around 24(th) May 2012. Both dates are subject to change and confirmation depending on the final NYSE listing timetable and a further announcement will be made in due course.

The Company announces that, following the acquisition of the Evolution Group plc by Investec plc, it has appointed Investec Bank plc as its Nominated Adviser and Joint Broker with immediate effect.
