Conversion of D Shares and E Shares

Chrysalis VCT plc announces that, on 30 April 2009, its D Shares and 
E Shares were converted into new Ordinary Shares on the following 
basis: 
 
For every 1,000 D Shares              772 new Ordinary Shares were 
issued 
 
For every 1,000 E Shares               483 new Ordinary shares were 
issued 
 
Total number of shares converted was as follows: 
 
Number of D Shares converted: 
                                                532,982 
Number of new Ordinary shares issued in respect of D Shares: 411,441 
 
Number of E Shares converted: 
                                                601,376 
Number of new Ordinary shares issued in respect of E Shares: 
290,429 
 
Application for  the  new  Ordinary Shares to  be  admitted  to  the 
Official List of the UK Listing  Authority and  to trading  on  the 
London Stock Exchange's market for listed securities will be made  at 
the earliest practical opportunity. 
 
Following the conversions, the Company now has Ordinary Shares in 
issue. The total number of voting rights in Chrysalis VCT plc 
therefore stands at 31,442,475.  The above figure may be used by 
shareholders as the denominator for the calculations by which they 
will determine if they are required to notify their interest in, or a 
change to their interest in, Chrysalis VCT plc under the FSA's 
Disclosure and Transparency Rules. 
Following the conversion, the beneficial holdings of directors and 
PDMRs in the Company are as follows:
