Merger Update and Change of Company Name

This announcement is made by the Company in connection with the scheme of 
reconstruction in relation to the merger of Acuity VCT Plc ("Acuity 1") with the 
Company (the "Scheme"), details of which were contained in the Company's 
prospectus (the "Prospectus") and circular to shareholders (the "Circular") both 
dated 21 December 2009. 
 
 
The board of directors of the Company is pleased to advise that the resolution 
proposed at the general meeting of Acuity 1 held today was duly passed to be 
able to implement the Scheme and effect the merger. By way of implementation of 
the Scheme, the assets and liabilities of Acuity 1 have been transferred to the 
Company, in consideration for the issue of ordinary shares of 1 pence each in 
the capital of the Company (the "Shares"), as set out below. 
 
 
The total number of Shares issued to Acuity 1 shareholders in connection with 
the Scheme was 22,424,733. 
 
 
Application will shortly be made for all the Shares issued to be admitted to the 
Official List and to trading on the main market of the London Stock Exchange. It 
is expected that admission will become effective and that trading will commence 
on 3 February 2010. 
 
 
On the Scheme taking effect, the name of the Company has been changed from 
Acuity VCT 2 Plc to Acuity Growth VCT Plc.
