Circle Group Outlines D-Share Plan

MUNDELEIN, Ill., May 2 /PRNewswire-FirstCall/ -- Circle Group
Holdings (AMEX:CXN), announced Monday that shortly following its
special shareholder meeting to seek approval to change its name to
Z-Trim Holdings, the company will issue a "D-Share" to
shareholders. "The D-Share is intended to provide future rewards to
legitimate shareholders of record who retain their ownership
interest," explained Greg Halpern, Chief Executive Officer.
Strictly speaking, the D-Share will be a newly-issued Series D
Preferred Stock. The Company's Board of Directors has the ability
to issue the D-Share without shareholder action. The new D-Share
will only be issued to shareholders who present the new Z-Trim
stock certificate directly to the Company. Importantly, however,
Company insiders will not be entitled to D- Shares. "The D-Share
concept will reward our legitimate public shareholders and
disincentivize continued trading of "phantom" stock by naked short
sellers," explained Halpern. "To demonstrate our genuine intent to
reward our loyal shareholders, we are announcing today that
management will not be eligible to own D-Shares." Holders of the
D-share will receive a pro-rata cash dividend from 10% of the
after-tax profits from future licensing of the Z-Trim process to
global food manufacturers for as long as the shares are held by the
original holder -- but the D-share will dissolve immediately upon
sale or transfer of the associated ZTM share. The record date for
the D-Share and other specifics of the plan will be released at a
