                     Total Voting Rights and Share Capital



In accordance with the transitional provisions of the Disclosure and
Transparency Rules the Company confirms the following:


That since 19 January 2007, the Company's issued share capital has increased
by 23,500 ordinary shares with voting rights. Therefore, the total number of
voting rights at the date of this notice comprises 35,847,114 ordinary shares of
10 pence each. Each ordinary share carries the right to one vote and none of the
ordinary shares are held in treasury.


The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in the share capital of Hyder Consulting under the Disclosure and
Transparency Rules.
