Acquisition Corp. issued a press release stating that it has entered into a non-binding letter of intent for a potential business combination
with CleanBay Renewables Inc., a late-stage enviro-tech company focused on the production of sustainable renewable natural gas, green
hydrogen and natural controlled-release fertilizer. A copy of the press release is furnished herewith as Exhibit 99.1 to this Current
Report on Form 8-K.
