                            Director's Shareholding

Subsequent  to  the  announcement of 29 April,  1998,  the  board  of  Medisys
announces that it has been notified today by Dr Donald E. Panoz, a Director of
the  Company,  that his affiliate, Fountainhead Holdings Ltd  ("Fountainhead")
has  subscribed today for 2,000,000 new ordinary shares in Medisys at 30 pence
per share (the "Subscription").  These shares represent approximately 1.18 per
cent. of the enlarged issued share capital of the Company.

In  connection  with  the Subscription, 2 million warrants  to  subscribe  for
Medisys  ordinary  shares  have  today been issued  to  Fountainhead  for  nil
consideration.  The warrants have an exercise price of 30 pence per share  and
a six year maturity.

Fountainhead  is  a  Bermuda based corporation owned by certain  Panoz  family
trusts.   As  disclosed  in  the Company's circular to  shareholders  and  AIM
admission  document dated 30 June 1997, Fountainhead previously  held  852,153
ordinary  shares  in  Medisys,  and  now  holds  2,852,153  ordinary   shares,
representing  approximately 1.68 per cent. of the  Company's  enlarged  issued
share capital, and 2 million warrants.
