On July 15, 2020, Carl James Schaper provided notice to Q2 Holdings, Inc. (the "Company") of his resignation as a member of the Board of Directors of the Company (the "Board"), and from his service on the Board's compensation and nominating and corporate governance committees, in each case effective immediately. Mr. Schaper's decision to resign was not the result of any disagreement with the Company.
