Explanation of Responses:
1. The reported transaction represents the forfeiture to the Issuer and cancellation of 254,236 shares of the Issuer's Class A Common Stock pursuant to the terms of the Amended and Restated Sponsor Letter Agreement (the "Sponsor Letter Agreement") dated July 29, 2021, entered into by and among the Issuer, Atlas Crest Investment Corp., the reporting person, and certain other individuals party thereto. The foregoing description of the Sponsor Letter Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of such document which was previously filed by the Issuer with the U.S. Securities and Exchange Commission on August 3, 2021 as Annex D-2 to Amendment Number 4 to the Issuer's Registration Statement filed on Form S-4.
2. The reporting person owns the securities indirectly through Achill Holdings LLC, of which he is the sole managing member.
