Item 1.01 Entry into a Material Definitive Agreement.

On January 17, 2025, ProKidney Corp. (the “Company”), through its wholly owned subsidiary, ProKidney Acquisition Company, LLC, entered into a purchase and sales agreement with Stream Realty Acquisition, L.L.C. (the “Agreement”) to sell the Company’s real property located in Greensboro, North Carolina for approximately $20.5 million in cash. The Agreement contains customary representations for a transaction of this type. The transaction is expected to close in March 2025, subject to customary closing conditions.

 

The foregoing description of the Agreement is qualified in its entirety by reference to the full text of such agreement, which the Company intends to file as an exhibit to its Annual Report on Form 10-K for the year ended December 31, 2024.
