Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 7, 2024, Mr. Anthony Chase announced his intention to resign from his position as a member of the Board of Directors of Par Pacific Holdings, Inc. (the “Company”) and its Nominating and Corporate Governance Committee, effective November 15, 2024. Mr. Chase’s resignation is for personal reasons and is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices..
