Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 15, 2024, Marcel Kessler informed GrafTech International Ltd. (the “Company”) that he was resigning from the Board of Directors (the “Board”) of the Company effective December 31, 2024. Mr. Kessler did not serve on any committees of the Board. He has served as a Class II director. Mr. Kessler’s decision is not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
