Explanation of Responses:
( 1)  The reported securities are held by Avish Agincourt, LLC, a Delaware limited liability company. The reporting person is the trustee and beneficiary of a revocable trust which, on December 14, 2011, transferred a 5.6% interest in Avish Agincourt to a limited partnership in exchange for general and limited partnership interests and subsequently transferred limited partnership interests to a charitable foundation by gift.
( 2)  Represents partial redemption of Avish Agincourt, LLC limited liability company units. The reporting person disclaims beneficial ownership of the securities held by Avish Agincourt, LLC except to the extent of his pecuniary interest therein.
