As previously announced, on December 21, 2023, OCA Acquisition Corp., a Delaware corporation (“OCA”) entered into an Agreement and Plan of Merger (the “Business Combination Agreement”), by and among OCA, Powermers Smart Industries, Inc., a Delaware corporation (“PSI”), and POWR Merger Sub, LLC, a Delaware limited liability company and wholly owned subsidiary of PSI (the transactions contemplated by the Business Combination Agreement, the “Business Combination”). Furnished herewith as Exhibit 99.1 and incorporated into this Item 7.01 by reference, is an investor presentation, dated as of January 12, 2024, that OCA and PSI have prepared in connection with the Business Combination.
