The Sage Group plc. (the "Company")
Notification of Transactions by Persons Discharging Managerial
Responsibilities ("PDMRs")
This notification relates to transactions notified in accordance
with Article 19 of the Market Abuse Regulation.
In accordance with the terms and performance conditions of the
award granted to Steve Hare, Chief Executive Officer and PDMR, on 7
December 2017 under The Sage Group plc 2015 Performance Share Plan
("PSP 2015"), 53,202 ordinary shares of 1(4/77) pence each in the
Company ("Shares") vested on 7 December 2020. The Shares were
subject to a two-year holding period from vesting until 7 December
2022, when they became eligible for release.
On 7 December 2022, the award was settled in Shares. On 8
December 2022, the Company was notified that on 7 December 2022,
Steve Hare sold a number of Shares in respect of which he had
become entitled, to cover the tax obligations arising from the
release and settlement of the award in Shares.
