Reduction of Capital

The Company is pleased to announce that, following formal approval by the High Court of Justice (the "Court") of the reduction of the share premium account of the Company, the cancellation of the entire amount standing to the credit of the Company's capital redemption reserve and the reduction in the nominal value of each issued fully paid up ordinary share in the capital of the Company to £0.001 each (the "Capital Reduction") on 2 July 2024, the order of the Court confirming the Capital Reduction and statement of capital approved by the Court were registered with the Registrar of Companies on 11 July 2024 and the Capital Reduction has become effective.

Details of the Capital Reduction, the purpose of which was to create distributable reserves, were set out in the Company's notice of annual general meeting published by the Company on 2 April 2024, and the Capital Reduction was approved by shareholders at a general meeting of the Company on 2 May 2024.

Following the Capital Reduction, the nominal value of ordinary shares in the Company is now £0.001 each. The number of ordinary shares of the Company in issue (including shares held in treasury) has not changed and consists of 1,351,475,321 ordinary shares.
