                Result of Extraordinary General Meeting ("EGM")


15 August 2006

MDY Healthcare is pleased to announce that at the EGM held today all resolutions
were duly passed.

The Company is applying to cancel its listing on the Official List and to admit
its share capital to trading on AIM ("Admission to AIM"). It is anticipated that
the effective date of the cancellation of listing and Admission to AIM will be
14 September 2006.

Charles Spicer, Chief Executive of MDY Healthcare plc, said: "We are making good
progress in our development as an investing company focussed on the healthcare
sector. We are seeing an increasing volume of high quality opportunities in both
public and private companies from both Europe and the US. As previously
announced, we have made our first investment in Cozart plc and will continue to
target opportunities where we can back strong management teams and add value to
the investee companies."
