    ("Freeplay" or "the Company")

    Result of General Meeting ('GM')

    Freeplay, the original and leading global brand of clean, dependable energy products, is pleased to announce that all resolutions were
duly passed by shareholders at the GM held today at 11.30 a.m.

    Following the GM, shareholders have now approved the conditional agreements to dispose of the Freeplay Division to Devinder Raj Narang
for a total consideration of $14.5 million, subject to adjustment, which includes the assumption of approximately $5 million of bank debt.

    In addition, following completion of the disposal, the Company will apply to the High Court for permission to reduce the share premium
account of the Company in order to enable the Company to partially eliminate the deficit on its profit and loss account.

    Due to the sale of the rights to the Freeplay name and associated trade marks, it has also been agreed that Freeplay will change its
corporate name to Fieldbury plc with effect from the completion of the sale of the Freeplay Division which is expected to be finalised
within the next few weeks once approval from the Reserve Bank of India has been obtained.
