                        Annual General Meeting results                        

At the Annual General Meeting of Griffin Mining Limited ("Griffin") held on 12
June 1998 the members approved the following resolutions:

- The adoption of the annual report and accounts for 1997
- That the maximum number of Directors be set at seven
- The re appointment of Craig Niven, Mladen Ninkov, John Goodger, Gordon      
   Montgomery, William Mulligan and John Steele as Directors of the Company.
- That the bye-laws of the Company be amended to enable the Company to        
  purchase its own shares.
- That the authorised share capital of the company be increased to            
  US$5,000,000 by the creation of an additional 25,000,000 ordinary shares of 
  10 cents each. 
- That the Company be authorised to seek a listing of its shares on the       
  Toronto Stock Exchange.


              Purchase of 214,375 ordinary shares in the Company              

Following the approval by members of an amendment to Griffin's bye-laws to
enable the Company to purchase its own shares, Griffin has today exercised
options, forming part of agreements on the disposal of certain unquoted
securities, to purchase 214,375 ordinary shares in Griffin at a price of 40
cents per share. The consideration consisted entirely of unquoted securities
previously owned by Griffin. Following this purchase these shares are
cancelled and the total issued ordinary share capital of Griffin comprises
13,793,779 ordinary shares.
