Submission of Matters to a Vote of Security Holders.
On August 14, 2019, Netlist, Inc. (the Company) held its 2019 Annual Meeting of Stockholders (the Annual Meeting) in Irvine, California. As of June 17, 2019, the record date for the Annual Meeting, there were 140,981,880 shares of the Companys common stock issued and outstanding and entitled to vote on the proposals presented at the Annual Meeting. A total of 115,472,189 shares of the Companys common stock, which constituted a quorum, were present in person or by proxy at the Annual Meeting. Set forth below are the final voting results for each of the four proposals submitted to a vote of the Companys stockholders at the Annual Meeting.
Proposal 1 Election of Directors
