Item 8.01.

Other Events.

On October 16, 2023, Zalatoris Acquisition Corp., a Delaware corporation (the “Company”), caused $150,000 (the “Extension Payment”) to be deposited into the trust account of the Company, which enables the Company to extend by one (1) month—from October 14, 2023 to November 14, 2023 (the “Extension”)—the date by which the Company must have consummated its initial business combination or begin the wind-up process in accordance with its charter. The Extension is the fifth of nine (9) one-month (1-month) extensions permitted under the Company’s governing documents.
